Dolberry Janitorial LLC – Master Terms & Service Agreement

1. Acceptance of Terms

By accessing this website or utilizing our services, you agree to these Terms and Conditions in full. If

you do not accept them, please discontinue use of our website or services.

2. Access / Entry

Clients may provide Dolberry Janitorial LLC with access by key, code, or on-site entry. All keys are

coded and secured with no identifying client information. Keys will not be returned by mail for safety

purposes.

3. Payments & Deposits

Full payment is required for all services prior to the start of work unless otherwise stated in a written,

signed contract approved by Dolberry Janitorial LLC management. This policy ensures scheduling

priority, staffing readiness, and uninterrupted service delivery. All clients, including residential,

commercial, government, and military, must remit payment in full before or upon service

commencement, unless alternative terms are explicitly outlined in an authorized written contract.

Contracts with approved billing terms (e.g., Net 15 or Net 30) are granted only at the discretion of

Dolberry Janitorial LLC and must be authorized in writing. Payments not received by the agreed date

will result in immediate suspension of services until the balance is paid in full. Late payments will incur a

5% monthly late fee or the maximum rate permitted by law, whichever is greater. Returned or failed

payments are subject to a $25 processing fee.

4. Scheduling, Arrival Windows, and Cancellations

Recurring cleanings follow a consistent schedule. One-Time Cleanings are scheduled as standard

blocks of time. If it is necessary to cancel or reschedule, we require at least two business days’ notice.

Cancellations with less notice or inaccessible facilities may be charged up to the full service rate.

5. Breakage / Loss

Dolberry Janitorial LLC is bonded and insured. Notification must be made within 48 hours of service for

any breakage or loss. Key replacement or locksmith fees are paid only if keys are lost or miscoded,

with a $100 per-location liability limit.

6. Service Limitations

We do not climb higher than a two-story building unless specific arrangements and insurance coverage

are in place. Dolberry Janitorial LLC maintains qualified personnel certified to safely operate equipment

such as boom lifts, scissor lifts, and other commercial machinery as required for elevated cleaning and

maintenance work. Proof of certification and insurance coverage is available upon request. We reserve

the right to decline any job involving hazardous or unsafe conditions. We do not handle biohazard

materials, heavy lifting over 25 pounds, or removal of trash or debris unless outlined in a contract.

7. Liability & Indemnification

Dolberry Janitorial LLC is not responsible for damage caused by faulty or improper installation, normal

wear and tear, or misuse of surfaces or materials. The Client agrees to indemnify and hold harmless

Dolberry Janitorial LLC, its employees, and agents from any claims, damages, or expenses arising from

the use of our services.

8. Governing Law

These Terms and Conditions shall be governed by and construed under the laws of the Commonwealth

of Virginia.

9. Late Payment & Collections

Invoices not paid within 15 days of the due date may incur a late fee of up to 5% per month or the

maximum rate permitted by law. Client agrees to pay any reasonable collection costs, including

attorney’s fees, if applicable.

10. Force Majeure

Dolberry Janitorial LLC shall not be liable for failure to perform services due to events beyond our

control, including severe weather, power outages, government restrictions, labor disputes, or acts of

God.

11. Confidentiality

Dolberry Janitorial LLC and its staff agree to maintain the confidentiality of all client information, access

codes, and proprietary materials. The Client agrees to maintain confidentiality of company pricing,

procedures, and documentation.

12. Independent Contractor

Dolberry Janitorial LLC operates as an independent contractor. Nothing in this Agreement shall be

construed as creating an employer-employee relationship between the Company and the Client.

13. Termination

Dolberry Janitorial LLC reserves the right to terminate services at any time in cases of safety concerns,

repeated nonpayment, or breach of contract. Clients may also request service termination at any time,

provided all outstanding balances are paid in full.

14. Amendments

Dolberry Janitorial LLC reserves the right to update or amend these Terms and Conditions at any time,

provided that any changes will be communicated in writing to active clients.

15. Dispute Resolution

Any dispute arising from this Agreement shall first be attempted to be resolved through negotiation or

mediation. If unresolved, it shall be subject to binding arbitration in the Commonwealth of Virginia.16. Equipment & Supplies

Unless otherwise specified, Dolberry Janitorial LLC provides all cleaning equipment and materials.

Client-supplied products are used at the client's risk, and the Company assumes no responsibility for

performance or resulting damage.

17. Contract Term & Notice of Cancellation

For contracted or ongoing services, this Agreement shall remain in effect until terminated in writing by

either party. Clients must provide at least 60 days’ written notice prior to canceling, reducing, or pausing

contracted services. This notice period allows for proper scheduling adjustments and fulfillment of

staffing and supply commitments. Failure to provide adequate notice may result in a final invoice equal

to the regular monthly service amount.

18. Grandfathered Pricing & Default Policy

Clients receiving services under grandfathered or promotional pricing must remain in good standing

with all payment and scheduling terms. If a client defaults on payment, cancels, or pauses services

outside of the approved policy, any previously grandfathered or discounted rates will become void.

Future services, if reinstated, will be billed at the current standard pricing in effect at the time of

renewal.

19. Non-Solicitation Clause

The Client agrees not to solicit, hire, or employ any Dolberry Janitorial LLC employees, subcontractors,

or affiliates during the term of this Agreement and for twelve (12) months thereafter. Any violation of this

clause will result in liquidated damages equal to three (3) months of the contracted service amount.

20. Scope of Work & Change Orders

All services are performed according to the agreed-upon scope of work outlined in the proposal or

contract. Any additional tasks, requests, or deviations outside the original scope must be approved in

writing and may result in additional charges.

21. Media & Marketing Permission

Dolberry Janitorial LLC may, with prior written consent from the client, photograph or document

completed work for marketing or portfolio purposes. No identifying client information or confidential

materials will be disclosed.

22. Severability Clause

If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining

provisions shall remain valid and enforceable to the fullest extent permitted by law.

23. Interest Clause

Unpaid balances outstanding for more than thirty (30) days may accrue interest at a rate of 1.5% per

month or the maximum allowable by law, in addition to any late fees or collection costs.24. Environmental & Sustainability Statement

Dolberry Janitorial LLC is committed to environmentally responsible cleaning practices. Upon request,

we can provide EPA or Green Seal certified cleaning products and procedures to support sustainable

facility maintenance.
